Hub and I went down to the board meeting that governs Meridian Manor in Bosque County last night. Readers will recall that, according to the Bosque County News,Ms Beck has taken over running Meridian Manor Nursing Home but had not apparently come up with the money to buy it. When we walked into the nursing home, I saw a blonde woman talking to a tall blonde guy who was seated, and asked where the board meeting would be held, then went there. Didn't think much of it until the next person entered the room and said he had passed Beck, who was on her way out and said she had an appointment in Ft Worth and wouldn't be able to attend the board meeting! And she didn't.
We did and were interested in hearing what the board was planning to do since Beck was so much over her date of coming up with the money.
Interesting to me is that the name of the company Beck is using is apparently not fixed in stone yet nor is the TYPE of company she is planning to run. So I don't see how it can be a registered company. Some things said: that it was Glen Rose that had introduced her to them, that she had an investment group comprised of several people, that they had told her to change the type of company from non-profit to for-proft. One thing that surprised me that was holding up the deal was a survey of the property. Maybe it's different if a business buys a property, but when we bought our property, we were the ones, or rather the bank that was going to loan us the money, that did the survey, and not the property owner; but in this case, Meridian Manor people were the ones responsible for getting a survey done and because of a miscommunication, it hadn't been done yet and was going to delay the potential closing.
Part 1-hung up a survey.
Part 2-no money yet, waiting on survey and environmental study.
Part 3-apparently doesn't have a company name yet, amendment change from non-profit to for-profit, she has investors. Not on the video but one of the board members told me that he thought she had 3 investors-one, he thought, was from Glen Rose, but he couldn't recall the name, one from Southlake and one from California. Since she doesn't have a company name yet, that explains why we can't find any LLC names, etc for Glen Rose Healthcare Partnership.
A refresher that Gary Marks said on Feb 3 2009 that Rose Beck and a Mr Moore are the ones that put in the bid. "The purchaser of the nursing home in Meridian is the Glen Rose Healthcare Partnership Inc". but I don't think that's wht the contract reads, yes? What name is actually on the contract? And where does Ms. Beck have that name registered as a valid company? Who else is involved and if it IS a partnership, who are her partners? It just seemed to me that the name of her company is in flux or at least not nailed down right now. At least I didn't hear it in the board meeting last night.
Side note: This didn't have anything to do with Rose Beck, but I was interested to hear a part of the conversation that had to do with using auxiliary purchases to try to get the board to fund. Again, my impression of auxiliary organizations are that they do NOT use board money but instead do their own fund raising, etc because they are helpers TO the board. But one board member, who was not only a board member but also an auxiliary member, wanted purchases made BY the auxiliary to be paid out from one particular account by the board. Unusual and another board member spoke up about it.
A couple of other interesting facets of the board meeting. There was a discussion of who would be on an advisory board and would it include members of the community (not part of the official board). Not part of the proposed contract. Also, discussion of where the records from the hospital authority would go. Incidentally, one of the board members asked us about our recording the meeting and apparently was not familiar with the open meetings act because he thought we would have to get permission if we planned to make money from the recording. We, in fact, don't charge, we record because we like open records, etc.but it makes no difference anyway.
