I mentioned the other day that I noticed that, about a month ago, the registered agent for the Roger E Marks Foundation was changed from Mike Ford, who listed himself as Executive Director to M Sheldon, with signatures by Jesse Pruitt. I wondered, since Mr. Ford is still listed as a board member (with no apparently changes ) and, since he had told not only us, but also the county commissioners that he had resigned from it long ago, whether it would be reasonable of any person to assume that, since he continues to be listed as a board member, he, in fact, actually is. So I called the SOS office to ask. The answer is yes. Mr Ford cannot simply decide for himself that he doesn't want to be affiliated with the board any more and not have to tell them. Why? So that they can file the paperwork and remove him, legally. Otherwise, he is a legal entity affiliated with the Marks Foundation. I also asked, while I was at it, about Mr. Pruitt being the one that filed the paperwork that changed Mr. Ford from being the registered agent to Mo Sheldon-seems that anyone can do that, including, for example, Legalzoom or any entity that mght have knowledge about how to file the paperwork correctly. However, filing the papers in no way makes Mr Pruitt in any way affiliated with the board legally-he's not a member of the board, unlike Mr. Ford, who continues to be a director. The SOS person I spoke with said that even if the board makes changes now and files them, they cannot retroactively change the date for which Ford served on the board and push it backwards.
